1. Acceptance of Terms

By downloading or using LateLess (the "App"), provided by LateLess Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

1.5 License Grant and Restrictions

We grant you a personal, limited, non-transferable, non-exclusive, revocable license to download, install, and use the App on Apple-branded products that you own or control, solely for your personal, non-commercial use in accordance with these Terms and the App Store Usage Rules.

You strictly agree that you will not, and will not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the App; (b) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App; (c) rent, lease, loan, resell, sublicense, or distribute the App; or (d) remove or alter any copyright, trademark, or other proprietary notices contained within the App.

2. Description of Service & Disclaimers

LateLess is a productivity tool designed to assist individuals with time management and routine pacing. The App is provided on an "as-is" and "as-available" basis.

• Medical Disclaimer: LateLess is an administrative productivity tool. It is not a medical device, nor is it intended to diagnose, treat, cure, or prevent any medical condition, including ADHD.
• Transit & Accuracy Disclaimer: LateLess utilizes third-party location and calendar data (such as Apple Maps and EventKit) to estimate travel durations and trigger notifications. We do not guarantee the accuracy, reliability, or timeliness of these estimations, routing data, or alerts.

3. Subscriptions and Payments

LateLess offers premium features via auto-renewing subscriptions (e.g., LateLess Pro).

• Payment will be charged to your Apple ID account at the confirmation of purchase.
• Your subscription automatically renews unless it is canceled at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage and cancel your subscriptions by going to your App Store Account Settings after purchase.
• All billing, cancellations, and refund requests are handled exclusively by Apple.

4. Discontinuation of Service

We reserve the right to modify or discontinue the App. In the event of a permanent discontinuation, we will provide at least 30 days' notice. We are not liable for any loss of data or convenience. Pro-rated refunds for active subscriptions will be handled according to the App Store’s standard policies.

5. Limitation of Liability

To the maximum extent permitted by law, LateLess Labs LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use or inability to use the App. This includes, but is not limited to, damages for loss of wages, missed flights, missed professional or personal appointments, transit delays, or any other real-world consequences resulting from reliance on the App’s notifications or travel estimations.

6. Governing Law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles.

7. Dispute Resolution and Binding Arbitration

• A. Mandatory Arbitration: You and LateLess Labs LLC agree that any dispute or claim arising out of these Terms will be settled by binding arbitration, rather than in court.
• B. Class Action Waiver: You and LateLess Labs LLC agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
• C. Small Claims Court: Either party may bring an individual action in small claims court in Bergen County, New Jersey, if the claim qualifies.
• D. Severability: If any provision of these Terms is found to be unenforceable, that provision shall be limited so that these Terms shall otherwise remain in full force and effect.

8. Apple App Store Mandated Provisions

• A. Acknowledgement: You acknowledge that these Terms are concluded between you and LateLess Labs LLC only, and not with Apple Inc. LateLess Labs LLC, not Apple, is solely responsible for the App and the content thereof.
• B. Maintenance and Support: LateLess Labs LLC is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• C. Intellectual Property Rights: You acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, LateLess Labs LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
• D. Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• E. Third-Party Beneficiary: You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
